1.    Terms of Use

Binding Agreement
These Terms of Use (as defined below) are a legally binding agreement between Arad Legal Services and you.
The term "Arad legal Services", "us", "we" or "our", refers to Arad legal Services, the owner of the Site. The term "you" refers to the User of the Site.
These Terms of Use govern your access and viewing of our web site (the "Site"), and the use of the Site to send us a message.
We are willing to license the use of the Site to you only upon the condition that you accept all the terms and conditions contained in these Terms of Use.
These Terms of Use are void where prohibited by law, and the right to view the Site is revoked in such jurisdictions.

Accepting the Terms of Use
These Terms of Use are effective as of the time you access or otherwise use the Site, and such access or use of the Site indicates your acceptance of all of the terms and conditions of these Terms of Use.
You may not access or use the Site and may not accept these Terms of Use, if you do not agree to these Terms of Use at any time.

Definitions
For the purposes hereof:
"Terms of Use" means these Terms of Use and Arad Legal Services' Privacy Policy, and all modifications thereto.
"User" means any person or entity viewing or using the Site.

2.    Limited License

Arad legal Services hereby grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and view the Site, on condition that you comply with all your obligations under these Terms of Use and all modifications thereto. We grant you no other rights, implied or otherwise. 

3.    The Site

You expressly acknowledge and agree that any access to or use of the Site, and any consequences thereof, are at your sole risk, responsibility and liability.
The form and/or features of the Site may change from time to time without prior notice.
In addition, we may stop (permanently or temporarily) operating the Site, at our sole discretion at any time, and without liability to us or notice.
The transmission and receipt of information contained on this Site does not form or constitute an attorney-client relationship. 
Any material that you upload to this Site will be considered non-proprietary. If you send us information through the Site, you agree to provide us with accurate and complete details.
Please note that we do not accept assignments from clients prior to a meeting in person.

 

4.    Restrictions on Use of the Site

4.1    You may not do any of the following while accessing or using the Site: 

Use the Site otherwise than in compliance with these Terms of Use and all applicable local, state, federal, and national, laws, statutes, ordinances, rules and regulations; 
Facilitate or encourage any violations of these Terms of Use;
Except as otherwise provided in these Terms of Use, copy, reproduce, print, download or save a copy, republish, display, perform, advertise, distribute, transmit, broadcast, decompile, reverse engineer, disassemble, attempt to derive the source code of, adapt, modify, create derivative works from, sell, rent, lease, loan, make available or exploit in any form or by any means all or any portion of the Site, for any purpose; 
You may, however, print a copy of individual screens appearing as part of the Site solely for your personal, internal, non-commercial, or non-profit use or records, provided that any marks, logos, copyright notices, or other legends that appear on the copied screens remain on, and are not removed from the printed or stored images of any such screens;
Remove or alter any copyright notices, trademark notices or other proprietary notices or identifying marks, symbols or legends included in the Site;
Access without authority, interfere with, damage or disrupt, any part of this Site;
Use the Site to generate and/or distribute any content which is inaccurate, harmful, threatening, tortuous, abusive, causes harassment, defamatory, pornographic, vulgar, obscene, libelous, hateful, is otherwise unlawful, misleading, malicious, or discriminatory or which harms minors in any way, or which may expose us to legal action or reputational damage; 
Use the Site to generate and/or distribute any content which infringes or violates any patent, trademark, trade secret, copyright or other proprietary rights of any third party or violates any laws, contributes to or encourages infringing or otherwise unlawful conduct;
Use the Site for posting third party copyrighted material, or material that is subject to other third party proprietary rights, unless you have a formal license or permission from the rightful owner of the material or if you are otherwise legally entitled to post and/or send the material in question; 
Use the Site to post any content which you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements), and/or which it would be unlawful for us to use or possess in connection with the operation of the Site;
Use the Site for any unlawful purposes or for threatening, harassing, or for the promotion of illegal activities (including, without limitation, provide material support or resources (or to conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization(s) designated by applicable law as a terrorist organization), or otherwise violate the rights of others;
Use the Site for interfering with, or disrupting (or attempting to do so), the access of any person, host or network, including, without limitation, by uploading and/or sending software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware; overloading, flooding, spamming, mail-bombing the Site; or by scripting the creation of content in such a manner as to interfere with or create an undue burden on the Site;
Use the Site for transmitting any unsolicited or unauthorized advertising or promotional material;
Do anything that could disable, overburden, or impair the proper working of the Site. 

4.2    You may provide links to the Site, provided (a) that you do not remove or obscure the copyright notice or other notices on the Site, (b) that you do not deep-link (i.e. include a link to one of our web pages other than our home page) to the Site for any purpose, (c) the site from which you provide the links to the Site does not engage in illegal or pornographic activities, and (d) you discontinue providing links to the Site immediately upon request by us.

4.3    You are solely responsible and liable for, and Arad legal Services has no responsibility to you or to any third party for, any breach of your obligations under these Terms of Use and for the consequences (including any loss or damage which Arad legal Services may suffer) of any such breach.

4.4    Any use, or attempted use, of the Site contrary to these Terms of Use is a violation of our rights. If you breach these Terms of Use, you may be subject to prosecution and damages.

5.    Privacy

Personally identifying information submitted to us through the Site or other information collected by us with regard to the use of the Site is governed by Arad legal Services' Privacy Policy (forming an integral part of these Terms of Use), which can be found at www.arad.legal. 
We do not disclose personally identifying information to third parties except in accordance with our Privacy Policy.
Arad legal Services' Privacy Policy also includes information about the cookies that we use.

6.    Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND WE HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH RESPECT THERETO, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OF COMPLETENESS, ACCURACY, AVAILABILITY, TIMELINESS, USEFULNESS, SECURITY, RELIABILITY OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS. 
We do not represent or warrant against interference with your enjoyment of the Site, that your access to, or use of, the Site will meet your requirements or will be error-free, uninterrupted, free of viruses, corruption, attack, interference, hacking, other security intrusion or other harmful components or that defects will be corrected. 
Any material downloaded or otherwise obtained through the Site is accessed at your own discretion and risk, and you will be solely responsible for and hereby waive any and all claims and causes of action with respect to any damage you might incur thereby.
We make no guaranty of confidentiality or privacy of any communication or information transmitted through the use of the Site. 
Some jurisdictions do not allow the exclusion of implied warranties or limitations on applicable statutory rights of a consumer, so the above exclusion and limitations may not apply to you.

7.    Limitation of Liability

TO THE EXTENT NOT PROHIBITED BY APPLICABLE LAW, IN NO EVENT SHALL ARAD LEGAL SERVICES, ITS DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS, PARTNERS AND LICENSORS, BE LIABLE FOR (A) ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES WHATSOEVER, AND/OR (B) DAMAGES FOR LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF DATA, LOSS OF USE, LOSS OF GOODWILL, BUSINESS INTERRUPTION OR ANY OTHER LOSS, INJURY, CLAIM, LIABILITY, OR DAMAGE OF ANY KIND; RESULTING IN ANY WAY FROM YOUR ACCESS TO OR USE OF, INABILITY TO USE OR RELIANCE ON, THE SITE, THE CONTENT CONTAINED ON THE SITE AND ANY ERRORS, OMISSIONS, AND/OR ANY OTHER MATTER RELATING TO THE SITE; REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT OR OTHERWISE), EVEN IF ARAD LEGAL SERVICES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY SET FORTH HEREIN FAILS ITS ESSENTIAL PURPOSE; 

IN NO EVENT SHALL ARAD LEGAL SERVICES OR ITS DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS, PARTNERS AND LICENSORS, TOTAL LIABILITY TO YOU FOR ALL DAMAGES (OTHER THAN AS MAY BE REQUIRED BY APPLICABLE LAW IN CASES INVOLVING PERSONAL INJURY) EXCEED THE AMOUNT OF FIFTY U.S. DOLLARS (U.S. $50.00). 
No advice or information, whether oral or written, obtained by you from us through the Site or otherwise shall create any warranty, representation or guarantee not expressly stated in these Terms of Use.
In addition, all responsibility or liability for any damages caused by viruses or other harmful components is hereby disclaimed.
Any cause of action by you with respect to the Site must be instituted within one (1) year after the cause of action arose.
Some jurisdictions do not allow the exclusion or limitation of liability for personal injury, or of incidental or consequential damages, so the limitations above may not apply to you.

8.    Ownership

You hereby acknowledge that the Site as a whole constitutes an original work of authorship of Arad legal Services, and that all rights, ownership, title and interest in and to the Site, including, but not limited to, the compilation, collection, selection, assembling, organization, coordination and arrangement of the content (whether or not such content is protected by copyright, or by any other intellectual property rights) within the Site, and the related copyrights, trademarks and all other related intellectual property rights - are and shall remain the sole and exclusive property of Arad legal Services.
All copyrights in and to the Site are owned solely and exclusively by Arad legal Services (and/or by its licensors), who reserve all their rights in law and equity. 
You may use the Site only in accordance with and subject to these Terms of Use.
You are not granted any right and/or license, or ownership including any copyright, trade mark and other intellectual property rights to the Site, other than as explicitly set forth in these Terms of Use. 
THE USE OF THE SITE OR ANY PART THEREOF, EXCEPT FOR USE OF THE SITE AS PERMITTED IN THESE TERMS OF USE, IS STRICTLY PROHIBITED AND INFRINGES ON THE INTELLECTUAL PROPERTY RIGHTS OF ARAD LEGAL SERVICES, AND MAY SUBJECT YOU TO CIVIL AND CRIMINAL PENALTIES, INCLUDING POSSIBLE MONETARY DAMAGES FOR COPYRIGHT INFRINGEMENT.
You hereby acknowledge and agrees that 'Arad legal Services' and other of our trademarks, trade names, service marks, graphics, logos and other brand features used in connection with the Site, are trademarks or registered trademarks of Arad legal Services. Nothing in these Terms of Use gives User a right to use or display such marks in any manner.
Arad legal Services hereby reserves all rights not expressly granted herein.

 

9.    Termination

We reserve the right at all times to refuse and/or terminate your access to the Site, with or without notice and at our sole discretion, without thereby incurring any liability.
Termination of these Terms of Use for any reason is without prejudice to any of our rights. 
Provisions which by their nature would continue beyond termination (including, without limitation, the provisions of Sections 1, 6, 7, 8, 10 through and including 12), shall survive such termination for any reason and shall continue to apply.
Upon termination of these Terms of Use, you shall cease all use of the Site. 

10.    Governing Law and Jurisdiction

These Terms of Use shall be governed and construed in accordance with the laws of the State of Israel, without reference to its conflicts of laws principles. 

You hereby irrevocably submit to the exclusive jurisdiction of the competent courts in Tel-Aviv, Israel, to resolve any dispute arising out of or pursuant to these Terms of Use, and you hereby consent to the exclusive jurisdiction of and venue in such courts and waive any objection as to inconvenient forum.

Arad legal Services' offices are located at 6 Wissotzky Street, Israel.

We may send you notices with respect to the Site by email, regular mail, or postings on the Site, or by any other means reasonably designed to give you such notice.
All communications between Arad legal Services and you shall be in the English language only.

12.    Miscellaneous

Compliance with Laws

You agree to use the Site only for lawful purposes, and to comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use of the Site and the content provided therein.

Headings

The headings of the Sections in these Terms of Use are for reference only and shall not be considered in the interpretation hereof. 

Entire Agreement

These Terms of Use, together with Arad legal Services' Privacy Policy, contain the complete agreement between the parties and supersedes any prior understandings, agreements or representations by or among the parties, which relate to the subject matter of these Terms of Use.

Changes

Arad legal Services reserves the right, at any time and from time to time, without liability to Arad legal Services or notice to you, to change any of the provisions of these Terms of Use. Any such changes will be effective immediately and incorporated into these Terms of Use by this reference. Your continued use of the Site will be deemed to constitute your acceptance of any and all such changes.

Severability

In the event that any provision of these Terms of Use is held to be invalid or unenforceable, that provision shall be construed, limited, modified or deleted, to the extent necessary to eliminate any invalidity or unenforceability, and the remaining provisions of these Terms of Use remain in full force and effect.

Waiver

No waiver on the part of Arad legal Services of any right under these Terms of Use shall be effective unless in writing and signed by Arad legal Services' duly authorized representative. No waiver on the part of Arad legal Services of any past or present right arising from any breach or failure to perform shall be deemed to be a waiver of any future right arising under these Terms of Use.
